🐾 OUR TERMS & CONDITIONS

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“you,” “your,” “User,” or “Customer”) and Happy Pet Designs LLC, an Ohio limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of our website, digital files, products, and services (collectively, the “Services”). By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must discontinue use of the Services immediately.


1. Intellectual Property Rights


1.1 Ownership.
All content, patterns, artwork, designs, images, logos, text, and other materials available through the Services (“Content”) are the exclusive property of Happy Pet Designs LLC or its licensors and are protected under applicable United States and international copyright, trademark, and intellectual property laws.


1.2 Restrictions.
No Content, in whole or in part, may be copied, reproduced, modified, distributed, transmitted, displayed, published, licensed, or otherwise exploited without our prior written consent. Unauthorized use of Content may give rise to civil and/or criminal liability.


2. Digital Products and Licensing


2.1 Limited License.
Upon purchase of a digital file, you are granted a limited, non-transferable, non-exclusive, revocable license to use the Content in accordance with the scope expressly identified at the time of purchase. No ownership interest or title is transferred.


2.2 Exclusive Licensing.
Exclusive licenses, when available, require a separate written agreement. Only upon execution of such agreement and full payment will exclusivity be conferred.


2.3 Prohibited Uses.
You expressly agree not to:

  • Resell, sublicense, share, or redistribute any digital files;
  • Convert any Content into templates, clipart, competing patterns, stock resources, or other derivatives for resale or distribution;
  • Use Content as part of a trademark, logo, or brand identity without a separate written agreement;
  • Use Content for Print-On-Demand use (Redbubble, Zazzle, Society6, Printful, etc). Unauthorized POD use is a violation of our license terms.
  • Use Content for unlawful, defamatory, or infringing purposes.


2.4 Modification of Content.
Altering or modifying any digital file does not grant ownership rights and does not relieve you of your obligations under this Agreement. Unauthorized modifications are expressly prohibited.


3. Orders and Payment


3.1 Order Acceptance.
All orders are subject to acceptance by the Company. We reserve the right to refuse any order for any reason. This also extends to exclusive custom design agreements.


3.2 Payment.
Full payment is required prior to delivery of digital files or commencement of custom services. Prices are denominated in U.S. dollars and may change without prior notice.


3.3 Delivery.
Digital files are delivered electronically. You are responsible for providing accurate contact information.


4. Refunds and Returns


Digital Files: All digital product sales are final and non-refundable. Once a digital product has been delivered, no refunds, exchanges, or cancellations will be issued.


Custom Services: Cancellation, refund, and revision terms for custom projects will be governed by the specific written agreement entered into by the parties.


5. Limitation of Liability


To the fullest extent permitted under Ohio law, in no event shall Happy Pet Designs LLC, its members, or affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Services, even if advised of the possibility of such damages. All Services and Content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.


6. Indemnification


You agree to indemnify, defend, and hold harmless Happy Pet Designs LLC and its members, managers, employees, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of this Agreement or misuse of the Services.


7. Governing Law and Jurisdiction


This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict-of-law provisions. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Cuyahoga County, Ohio, and you consent to such jurisdiction.


8. Changes to Agreement


We reserve the right to modify or update this Agreement at any time, without prior notice, by posting a revised version on the website. Your continued use of the Services after any such changes constitutes your acceptance of the revised Agreement. It is your responsibility to review this Agreement periodically for updates.
